1. Introduction

These Terms of Service ("Terms") govern your use of ScoutAI ("the Application," "the Service"), a profit identifier application that helps you scan items in thrift stores and compare prices from eBay and other marketplaces, provided by After9Labs ("we," "our," or "us").

By accessing or using ScoutAI, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

2. What You Should Know at a Glance

• The Service is intended for personal use to identify profitable items in thrift stores
• Users must be at least 13 years old to use ScoutAI
• Some features may require a paid subscription
• You retain ownership of your scanned images
• Price data is sourced from third-party marketplaces and may not always be accurate or current
• We are not responsible for the actual prices or availability of items on third-party marketplaces

3. Account Registration

To use certain features of ScoutAI, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized access

Account Restrictions:

• Accounts registered by bots or automated methods are not permitted
• Each user must register only one account unless explicitly permitted
• User accounts may not be shared with other persons

4. Account Termination

Termination by You: You can terminate your account at any time by using the account deletion tools within the Application or by contacting us directly.

Termination by Us: We reserve the right to suspend or delete accounts that we deem inappropriate, offensive, or in violation of these Terms, at our sole discretion and without prior notice.

The suspension or deletion of accounts shall not entitle users to any claims for compensation, damages, or reimbursement.

5. Service Description

ScoutAI provides the following features:

• Item Scanning: Scan items in thrift stores using your device's camera
• Product Identification: AI-powered recognition to identify scanned items
• Price Comparison: Compare prices from eBay and other marketplaces
• Profit Analysis: Calculate potential profit margins based on current marketplace prices
• Search History: Save and track your scanned items and price comparisons

Important: Price data is collected from third-party marketplaces and may not reflect real-time availability or actual selling prices. Prices are estimates and should be verified independently before making purchasing decisions.

6. User Content

6.1 Your Content

You retain ownership of all content you upload to ScoutAI, including scanned images and search history ("User Content"). By uploading User Content, you confirm that:

• You have the legal right to upload and share such content
• Your content does not infringe any third-party rights
• Your content complies with applicable laws and these Terms
• You have permission to photograph items you scan (respecting store policies and privacy)

6.2 License Grant

By uploading User Content, you grant us a non-exclusive, royalty-free license to process such content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or account.

6.3 Prohibited Content

You may not upload content that:

• Contains nudity, sexually explicit, or pornographic material
• Depicts minors in any inappropriate context
• Is illegal, harmful, threatening, abusive, or harassing
• Infringes intellectual property rights of others
• Contains malware, viruses, or harmful code
• Violates any person's privacy rights
• Contains images of items you do not have permission to photograph

We reserve the right to remove any content that violates these Terms without prior notice.

7. Price Data and Accuracy

Important Disclaimers:

• Price data is collected from third-party marketplaces (eBay, etc.) and may not be real-time or accurate
• Prices shown are estimates based on available listings and may not reflect actual selling prices or item condition
• We do not guarantee the accuracy, completeness, or timeliness of price information
• Profit calculations are estimates and should not be relied upon as financial advice
• Actual selling prices may vary significantly based on condition, demand, timing, and other factors
• We are not responsible for any losses or damages resulting from reliance on price data provided by the Service

Always verify prices independently before making purchasing or selling decisions.

8. Third-Party Marketplaces

ScoutAI displays information and links to third-party marketplaces such as eBay. We are not affiliated with, endorsed by, or responsible for these marketplaces.

• We do not control the content, policies, or practices of third-party marketplaces
• Any transactions you make on third-party marketplaces are between you and that marketplace
• We are not responsible for the quality, authenticity, or legality of items listed on third-party marketplaces
• We do not guarantee that items will be available at the prices shown

9. Acceptable Use

You agree to use ScoutAI only for lawful purposes and in accordance with these Terms. You shall not:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service to engage in fraudulent or deceptive practices
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or its servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems or bots to access the Service
• Circumvent any usage limits or restrictions
• Scan items in a way that violates store policies or privacy rights

10. Paid Services and Subscriptions

10.1 Pricing

Some features of ScoutAI may require payment. Prices are displayed within the Application and include all applicable fees and taxes. Prices are subject to change with notice.

10.2 Subscriptions

Subscriptions automatically renew unless cancelled before the current period expires. To maintain your subscription, you must pay the required recurring fee in a timely manner.

10.3 App Store Purchases

Purchases made through the Apple App Store or Google Play Store are subject to the respective store's terms and conditions. For subscriptions via Apple:

• Payment will be charged to your Apple Account
• Subscriptions auto-renew unless cancelled at least 24 hours before the current period ends
• Manage or cancel subscriptions in your Apple App Store account settings

10.4 Trial Period

We may offer trial periods for certain features. Trial periods automatically convert to paid subscriptions unless cancelled before expiration.

10.5 Refunds

Refund policies are governed by the platform through which you made the purchase (Apple App Store, Google Play Store). Please refer to their respective refund policies.

11. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, design, graphics, and image recognition algorithms, are owned by After9Labs or its licensors. You may not:

• Copy, modify, or distribute our proprietary content
• Use our trademarks without permission
• Access or attempt to access our source code
• Create derivative works based on the Service

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
• WARRANTIES REGARDING PRICE DATA ACCURACY OR PRODUCT IDENTIFICATION ACCURACY

Product identification and price comparisons are approximations and may not accurately represent actual products or current market prices. Always verify information independently.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFTER9LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill
• Service interruption or computer damage
• Unauthorized access to your data
• Errors or inaccuracies in price data or product identification
• Financial losses resulting from reliance on price comparisons or profit estimates
• Any third-party conduct on the Service or third-party marketplaces

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold After9Labs and its officers, directors, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your reliance on price data or profit estimates provided by the Service

15. Changes to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service at any time without prior notice. We may also update these Terms from time to time. Material changes will be communicated through the Application or via email. Continued use of the Service after changes constitutes acceptance of the new Terms.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiations first. If negotiations fail, disputes shall be submitted to the competent courts.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
